1 Who we are and who may join
The Fumi Japan Partner Network is operated by Clear Fountain Pty Ltd (Clear Fountain Proprietary Limited), Australia, ABN 17 131 065 051, ACN 131 065 051 (we, us or Fumi). Contact: partners@fumijapan.com. These terms cover business participation in the network, initially for hotels and ryokan. You must be authorised to represent the applying business. Participation begins only when we accept the application in writing, including by email. An application receipt is not acceptance.
2 Free and voluntary participation
Membership is free, voluntary and non-exclusive, with no minimum term, purchase requirement or cancellation fee. Each party bears its own ordinary participation costs. Individually agreed free benefits are preserved under clause 3. Charges for services, printing or delivery outside that agreed free provision apply only if separately quoted and expressly agreed in advance. We will not automatically convert your membership to a paid subscription. “Partner” describes programme participation; it creates no legal partnership, agency, employment or authority to bind the other party.
3 Benefits and editorial choice
We select suitable content, channels, timing and presentation. Membership alone does not guarantee publication, continued listing, distribution across all accounts, views, followers, referrals, bookings, sales, rankings or uninterrupted service. Any individually agreed free supply of brochures and complimentary property promotion will be provided in accordance with that agreement. The general provisions of these terms do not withdraw those commitments or convert them into paid services. Views, bookings, sales and other promotional results are not guaranteed. Agreed promotion remains subject to agreed facts, usable images, permissions and editorial checks. Other benefits and materials not yet agreed depend on available capacity and our confirmation. Participation does not purchase favourable Fumi answers or imply independent inspection or endorsement.
4 Your information and services
You are responsible for accurate, lawful and current submissions, including prices, currency, taxes, occupancy, dates, availability, exclusions, conditions and booking links. You must have authority to offer the services and honour the offers you supply. Tell us promptly about changes, errors, expiry or withdrawal. Do not submit misleading content or unnecessary guest or sensitive personal information. You operate your property and handle your bookings, payments, refunds, complaints and legal obligations. This programme does not make us your booking agent or the supplier of your accommodation or services.
5 Images and permission to use content
Ownership of submitted material remains with you or the relevant rights holder. You confirm that you have the rights and permissions needed to use the text, photographs, logos and other material you submit, including any necessary permission to use the likeness of identifiable people shown in that material. For the agreed promotional purpose, you grant us a non-exclusive, royalty-free licence to review, translate, format and publish approved material on the agreed Fumi website and social channels, which may be viewed worldwide. Permission extends only to necessary service providers and platform processing for that purpose. It does not permit unrelated resale or unrestricted reuse. Tell us any credit requirements, time limits or other restrictions before approval. Withdrawal and termination are handled under clause 9.
6 Approval and corrections
Before first publication, an authorised representative must confirm the final offer details and any material translation or edit; Fumi must separately approve release. Silence is not approval. Material changes require renewed approval. We may decline or pause content for suitability, accuracy, rights, legal, safety or platform reasons. We may promptly correct, label, hide or remove content where reasonably needed, without waiting for advance approval, and notify you where practicable. We will identify promotional relationships clearly where required. Neither party may present a promotion as an independent guest review.
7 Brochures and brand use
Requested quantities are estimates, not confirmed allocations or shipments. We confirm products, quantities and dispatch separately, subject to stock and capacity. Any free supply already agreed remains governed by clause 3 and that individual agreement. You choose whether and where to display approved materials, with the venue’s permission. Keep supplied QR codes, wording and branding intact. Do not add claims or imply powers or benefits we have not agreed. Use Fumi branding only as authorised for this programme. You may stop displaying materials at any time.
8 Ending or suspending participation
Either party may end participation at any time, without giving a reason or paying a cancellation fee, by written notice, including email, to the other. Notice takes effect when received, or on a later stated date. Send your notice to partners@fumijapan.com; we use your nominated business contact. We will exercise our rights reasonably and in good faith. We may also suspend participation or content immediately where reasonably necessary to address suspected illegality, misleading material, rights or privacy concerns, fraud, security risks, abuse or a material breach. We may change or close the free programme on reasonable notice where practicable, or immediately where a legal or safety need requires it. Existing rights and separately agreed obligations are not erased.
9 What happens when participation ends
You may withdraw a content permission by email at any time. On withdrawal or termination, we stop new promotional use of the affected material and take reasonable steps promptly to remove it from channels we control, prioritising urgent rights, privacy or misleading-content concerns. We cannot guarantee recall of distributed print, screenshots, caches or copies controlled by others. We may retain restricted evidence of permissions, approvals, disputes and legal obligations under the privacy notice; this is not permission for continued promotion. Both parties stop representing the relationship as current. There is no compensation merely for loss of future discretionary free benefits, but existing claims and mandatory rights remain unaffected.
10 Responsibility and liability
We take reasonable care in operating the programme, but do not independently verify every partner statement or guarantee third-party platforms. To the extent permitted by law, we are not responsible for a partner’s fulfilment of its own services or for failures outside our reasonable control that we did not cause or contribute to. Neither party is liable to the other for indirect or consequential loss arising from this programme. These exclusions do not cover fraud, wilful misconduct, gross negligence, breach of confidentiality or privacy obligations, infringement of intellectual property rights, or any liability or remedy that cannot lawfully be excluded. Nothing excludes Fumi’s own mandatory duties, including applicable duties concerning misleading content. These terms do not impose a zero-dollar liability cap.
11 Third party claims about your material
To the extent permitted by law, you reimburse our reasonable, evidenced losses and reasonable legal costs resulting from a third-party claim, but only to the extent caused by your breach of clause 4 or 5. This does not cover any loss caused or contributed to by us, our unauthorised edits or our negligence. We must promptly notify you, take reasonable steps to minimise loss, give you a reasonable opportunity to participate in the defence of that third-party claim, and obtain your consent before agreeing a settlement for which you would pay; consent must not be unreasonably withheld.
12 Personal information
We use business contact details, correspondence, permissions and requested delivery details to administer participation, review submissions and arrange agreed materials. Private contact and delivery details are not public listing information. Our separate Partner Privacy Notice explains collection, service providers, overseas handling, retention and requests about your information. Optional marketing requires a separate choice; declining it does not prevent participation. Agreement to these terms is not blanket consent to unrelated processing or overseas transfers.
13 Changes and disputes
We will notify you of proposed material changes in advance and state when they would take effect. We will obtain fresh express agreement before adding charges or materially expanding content-use rights. We will also obtain fresh agreement to other material changes where required. Silence alone is not acceptance of such changes. You may leave without penalty. Changes do not retrospectively remove existing rights. Please contact us first about concerns; this does not prevent urgent relief or contacting a regulator. New South Wales law governs, subject to mandatory laws that apply, including in Japan. The courts of New South Wales have non-exclusive jurisdiction. Japanese and English versions are intended to have the same meaning; any inconsistency will be resolved in good faith, subject to applicable law. An invalid provision is severed only to the extent necessary, leaving the remainder effective where lawful.
